If any of the following changes occur, you must file a form with Companies House within 14 days:
- Appointment or resignation of directors
- Changes to directors’ personal details, such as a change of residential address or surname
- Change to the company’s registered office address
- Changes to People with Significant Control (PSC) – for example, someone acquiring more than 25% of the shares or voting rights
- Allotment of new shares or other changes to share capital
- Change to the company’s accounting reference date (i.e., the financial year-end)
- Change of company name
If any of the following changes occur, you must file a form with Companies House within 14 days:
- Creation or satisfaction of mortgage charges
- Amendments to the Articles of Association (the company’s constitution)
- Notification of where statutory registers are held, if not at the registered office
Supporting Corporate Documents
Many of these filings require supporting board resolutions or shareholder resolutions to be lawfully implemented. These documents are not filed at Companies House, but they are essential to:
- Ensure the change is valid under UK company law
- Avoid legal challenges to actions such as share allotments or directorships
- Maintain the company’s statutory registers and corporate governance trail
We can assist you by drafting these resolutions and ensuring the relevant documentation is retained correctly.

Thinking of Appointing a Director?
If you are planning to appoint a new director to your UK company, it’s important to understand that “director” is a legal role, not just a job title. Directors have specific legal duties and responsibilities under the Companies Act.
Before making an appointment, we recommend you read our guide to the role of a UK company director:
Consequences of Non-Compliance
Failing to file the correct forms at Companies House – or to prepare the necessary corporate documentation – can have serious consequences:
- The change may not be recognised in law (e.g., invalid share issue or unauthorised director)
- Regulatory penalties and potential criminal offences for directors
- Problems with banks, auditors, or investors when trying to restructure or sell the business
We regularly support our clients in correcting historic non-compliance and putting robust procedures in place for future governance.
