UK Transfer Pricing Rules for Multinational Groups

Supporting Multinationals with UK Operations

At Türner & Co., we work exclusively with multinational groups that have UK subsidiaries or permanent establishments. We understand that your head office team is managing global transfer pricing obligations across many jurisdictions. Our role is to support you locally in the UK, giving you peace of mind that your UK documentation is fully compliant.

The UK broadly aligns with the OECD Transfer Pricing Guidelines, so centrally prepared documentation is often a solid foundation. However, the UK does have specific expectations, and we can help review your UK Local File to identify any UK-specific gaps or prepare it for you from scratch. We also advise on customs and tariffs, recognising that transfer pricing issues now often extend beyond tax.

UK Transfer Pricing Rules for Multinational Groups

Who Do the UK Transfer Pricing Rules Apply To?

The UK transfer pricing (TP) rules apply to all UK companies that are part of a group which does not qualify as a Small or Medium-Sized Enterprise (SME), and where transactions occur with “connected parties” — typically, other companies in the same group.

The rules apply to all types of intercompany transactions, including:

  • Cross-border transactions
  • UK-to-UK related party transactions
  • Transactions involving UK permanent establishments of overseas companies

SME Exemption – Are You Within Scope?

Your business is exempt from UK transfer pricing rules if it qualifies as an SME.

  • Small enterprise:
    • Staff: No more than 50 employees, and
    • Either: Annual turnover < €10 million or balance sheet total < €10 million

  • Medium-sized enterprise:
    • Staff: No more than 250 employees, and
    • Either: Annual turnover < €50 million or balance sheet total < €43 million

A Medium-Sized Enterprise can be brought within the rules, if HMRC issues a notification to this effect.

Important: The employee threshold is decisive. If your business has less than 50 (for small) or 250 (for medium) employees, you are outside the scope regardless of your turnover or balance sheet total.

Overview of UK TP Rules

  • UK TP legislation aligns closely with the OECD Guidelines.
  • The key principle is the arm’s length principle: connected party transactions must be priced as if they were between independent parties.
  • Adjustments are permitted only to increase taxable profits or reduce a loss — downward adjustments are not allowed.
  • TP documentation is mandatory for large businesses, and best practice for medium-sized groups.

Documentation Requirements

For groups with global turnover over €750 million, the UK requires:

  • Master File – group-wide information
  • Local File – details of UK-specific intercompany transactions
  • Country-by-Country Report (CbCR) – global income and tax distribution
  • Summary Audit Trail (SAT) – to be introduced, further guidance expected

All documentation must be:

  • Prepared in English
  • Contemporaneous
  • Provided to HMRC within 30 days upon request

What We Offer

Resigning a director is not just a matter of filing a form.

Tϋrner & Co supports multinational groups by:

  • Reviewing UK Local Files for OECD and UK compliance
  • Preparing UK Local Files tailored to HMRC’s expectations
  • Advising on arm’s length interest rates and thin capitalisation issues
  • Supporting documentation for customs and tariff planning
  • Addressing UK permanent establishment profit attribution under the AOA

Additional Considerations

  • Thin Capitalisation: Interest may be restricted where debt exceeds what an independent lender would accept
  • Intercompany Loans: Must reflect arm’s length rates and terms
  • UK Permanent Establishments: Profits must be allocated as if the PE were a separate enterprise
